Terms of Service

The Neos Covenant

These Terms incorporate the Neos Covenant (version 1.0), which forms part of this agreement. The covenant is a set of binding, versioned promises about how we price, hold, and hand back your data and your account. Several sections below — the price hold, the Sunset Clause, and your export and cancellation rights — are the contractual text behind specific covenant clauses, and each says which clause it implements. Where a covenant clause grants you a right that these Terms do not spell out, the covenant governs in your favour. The covenant may be strengthened at any time and, by its own terms, may never be weakened for an existing customer; its full change history is published on the covenant page.

The Service

Neos Meet is a scheduling tool that lets hosts publish booking links and lets invitees reserve time. When connected to your Google Calendar, the Service reads your availability and creates calendar events, including Google Meet video links, for confirmed bookings.

Your account

You are responsible for the activity on your account and for keeping your Google sign-in secure. You agree to provide accurate information and to use the Service only for lawful scheduling purposes.

Acceptable use

You agree not to misuse the Service, including by attempting to disrupt it, access data that is not yours, send spam or unsolicited invitations, or use it in violation of any applicable law or the rights of others.

Google Calendar

When you connect Google Calendar, you authorize the Service to read your free/busy information and to create, update, and cancel events related to your bookings. Your use of Google services remains subject to Google's own terms. You can revoke access at any time from your settings or from your Google Account.

Availability and changes

The Service is provided on an "as is" and "as available" basis. We may add, modify, or retire individual features as the product evolves, and we do not guarantee that the Service will be uninterrupted or error-free.

Discontinuing the Service as a whole is different from changing a feature, and we treat it as such. Winding down the Service is a sunset event governed by the Continuity and source release section below: we will give existing account holders advance written notice and keep data export available throughout the notice period and for a defined window afterward, so nothing you put in is stranded when we stop.

Fees, renewal, and price changes

Paid plans are billed per seat in advance, monthly or annually, at the price published on our pricing page. A seat is a distinct host across your active team booking links. Adding or removing a host adjusts your subscription quantity and Stripe prorates the difference for the remainder of the period.

Your subscription renews automatically at the same published price you signed up at. These Terms contain no automatic price escalator — no indexed uplift, no percentage increase applied at renewal.

If we change the published price of a plan, a subscriber who is active when we announce the change keeps their existing price for at least twelve months from the date of the announcement, regardless of whether they are billed monthly or annually — a monthly subscriber is not repriced at the next renewal, but held for the full year like everyone else. We will email the address on your account at least 30 days before any new price could apply to you, and that 30 days is a floor, not the norm: the twelve-month hold is the real protection. This implements §2 of the Neos Covenant("The price on the page is the price"), which is incorporated into these Terms; if the covenant clause ever promises more than this paragraph, the covenant governs.

Trials do not require a payment method. A trial with no payment method on file ends by cancelling itself; it never converts into a charge you did not agree to. If a renewal payment fails, your paid features continue for up to 14 days from the failure while the payment is retried, after which the account reverts to the Free plan until a payment succeeds.

Fees are exclusive of taxes, which are added where required. Charges already incurred are non-refundable except where required by law.

Support

Every plan, including Free, reaches the same people — there is no separate queue for paying customers and no tier of customer whose message we set aside. On the Scale plan we additionally commit to a first response to a support request within one business day, in writing. That commitment is a response-time commitment, not a resolution guarantee, and business days are counted in United States Pacific time. This reflects §1 of the Neos Covenant("The conversation is answered").

Cancellation

You may cancel at any time from the billing portal in your settings, without contacting us and without a cancellation fee. Cancellation takes effect at the end of the period you have already paid for; you keep paid features until then, and the account then reverts to the Free plan rather than being closed. Your bookings, event types, and availability are not deleted by a cancellation — deleting the account is a separate, explicit action you take yourself.

We may suspend or terminate an account that breaches the acceptable-use section above. If we do so other than for breach, we will refund the unused portion of any prepaid period.

Continuity and source release (Sunset Clause)

The deepest fear about depending on a hosted tool is that it simply disappears and takes your working life with it. We answer that fear in the contract, not just in spirit. This section implements §7 of the Neos Covenant("The Sunset Clause") and is a binding commitment, not a statement of intent.

If any of the following sunset triggers occurs, the source code needed to run the Service is released to the public under an OSI-approved open source license:

• Shutdown. We decide to cease operating the Service and wind it down, rather than continuing to run it under these Terms.
• Acquisition then discontinuation. RSpond or the Service is acquired and the acquirer discontinues the Service, or continues it on terms that no longer honour the commitments in this document, instead of operating it under these Terms.
• Ceasing maintenance. We stop maintaining the product — defined operationally as publishing no security or corrective update and providing no substantive response to support requests for a continuous period of six months, while the Service remains nominally live. This is defined by conduct, not announcement, so we cannot escape the trigger by simply not saying we have stopped.

On a trigger, we will publish that source under the Apache License, Version 2.0 within 90 days of the trigger event, together with the notice and export window described in "Availability and changes" above, so that the software you built your work on can outlive us. The release covers the code required to operate the scheduling service; it does not include other parties' secrets, credentials, or personal data, which are protected for everyone's safety. Nothing in this section obliges us to release code we are contractually or legally barred from releasing, but where such a bar exists we will say so rather than use it as a silent excuse.

This section has not yet been reviewed by counsel, and the specific license and timeline above are to be confirmed before launch.

Changes to these Terms

We may update these Terms. When we do, the change is dated and explained in the Change history at the foot of this page, and the edition it replaced stays readable at its own dated link — so you can always compare what changed against what came before. This is §8 of the Neos Covenant("You can catch us") made operational.

These Terms change in one direction only. The commitments that protect an account you already hold — the Sunset Clause, the no-escalator rule and the twelve-month price hold in "Fees, renewal, and price changes", and your export and cancellation rights — may be strengthened at any time, but never weakened for an existing account. If a later edition of these Terms reduces any of those protections, that reduction binds only accounts opened after it takes effect; your account keeps the stronger version it was formed under. This mirrors the covenant's own rule that it may be strengthened at any time and never weakened for an existing customer.

For every other change that materially reduces your rights or increases your obligations, we will email the address on your account at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms; if you would rather not, cancel before it and the existing terms govern the remainder of your paid period.

Limitation of liability

To the maximum extent permitted by law, RSpond is not liable for any indirect, incidental, or consequential damages, or for missed meetings, lost data, or scheduling errors arising from your use of the Service.

Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The courts located in Santa Clara County, California have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you and we each consent to that jurisdiction and venue. Nothing here limits any right you have to bring a claim in the courts of your country of residence where applicable law gives you that right.

Before filing anything, please email support@neos.network. Most disputes about a scheduling tool are a misunderstanding about a booking or an invoice, and we would rather fix it than litigate it.
